- Support all phases of corporate transactions, including M&A, ventures and equity and capital raising transactions
- Support public company readiness and securities law compliance initiatives
- Develop, implement and continuously improve disclosure controls and procedures in coordination with finance, investor relations and other internal stakeholders
- Prepare and review board and committee materials and advise on board-related governance matters
- Prepare governance and compliance policies and procedures, including updates to such policies and procedures
- Review and advise internal stakeholders with respect to investor presentations, offering materials, public announcements, press releases, and other corporate communications
- Support ESG and sustainability reporting initiatives as needed, with a focus on corporate-governance, disclosure and public-company reporting considerations
- Advise on antitrust and competition law aspects of M&A, as well as provide global antitrust and competition counseling.
- Lead international subsidiary management, including formation and maintenance of domestic and international subsidiaries
- Establish and execute OKRs to continuously improve processes for scaling legal support for general corporate matters
- Develop and maintain relationships with internal and external stakeholders, including finance, corporate development, marketing, investor relations and outside counsel
